Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Praevidens.ai platform and website (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind it.

1. The Service

Praevidens.ai is an e-commerce retention and analytics platform. It connects a merchant's store and marketing data sources, produces analytics, builds an AI-driven memory of shopping patterns, and generates personalised offers and retention communications. Features may change, improve, or be discontinued over time.

2. Accounts & eligibility

• You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account.
• The Service is a business tool intended for use by merchants and agencies; it is not intended for consumers or anyone under 16.
• You may invite team members; you are responsible for their use and for the roles you assign them.

3. Subscriptions, billing & trials

• Paid plans are billed in advance on a recurring basis through our payment provider. Prices and plan limits are shown at sign-up and may change with notice for future billing periods.
• Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
• You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, payments already made are non-refundable.
• Taxes may apply depending on your location.

4. Your data & connected accounts

You are responsible for the data you connect and for having the necessary rights and consents to process the personal data of your customers. Our processing of that data is governed by our Data Processing Agreement and Privacy Policy. When you connect third-party accounts (for example Shopify, Google, or Meta), your use of those services remains subject to their own terms, and you authorise us to access them on your behalf to provide the Service.

5. Acceptable use

You agree not to misuse the Service, including: attempting to breach security or access data that isn't yours; reverse-engineering or reselling the Service without permission; uploading unlawful content; sending communications that violate anti-spam or marketing laws; or using the Service to build a competing product.

6. Intellectual property

The Service, including its software, design and content, is owned by BOYAKOV PROPERTY INVESTMENTS LTD and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own data; you grant us the rights needed to operate the Service for you.

7. Disclaimers

The Service is provided "as is" and "as available". Analytics, forecasts and AI-generated recommendations are informational and may be inaccurate or incomplete; they are not professional, legal, or financial advice, and you are responsible for decisions you make using them. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim.

9. Term & termination

These Terms apply while you use the Service. You may stop using it at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or where required for security or legal reasons. On termination, your data is handled as described in the DPA and Privacy Policy.

10. Changes to these Terms

We may update these Terms; material changes will be reflected by the "Last updated" date above and, where appropriate, notified to account holders. Continued use after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the Republic of Cyprus, and the courts of Cyprus have jurisdiction, without prejudice to any mandatory consumer protections that may apply in your country of residence.
